On May 16, 2022, AEP Texas Inc. (the “Company”) entered into an Underwriting Agreement with BofA Securities, Inc., BNY Mellon Capital Markets, LLC, Mizuho Securities USA LLC, MUFG Securities Americas Inc., and PNC Capital Markets LLC as representatives of the underwriters named in Exhibit 1 thereto (collectively, the “Underwriters”), relating to the offering and sale by the Company of $500,000,000 of its 4.70% Senior Notes, Series K, due 2032 (the “Series K Notes”) and $500,000,000 of its 5.25% Senior Notes, Series L, due 2052 (the “Series L Notes,” and collectively with the Series K Notes, the “Notes”).
