Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On May 23, 2022, John Barresi, Senior Vice President, Chief Accounting Officer of Bed, Bath & Beyond Inc. (the “Company”) notified the Company of his resignation effective as of June 10, 2022 to pursue another opportunity. During his remaining period of employment, Mr. Barresi will continue to serve as the Company’s principal accounting officer. Following Mr. Barresi’s departure, Gustavo Arnal, the Company’s Executive Vice President and Chief Financial Officer will serve as the Company’s principal accounting officer.

Mr. Barresi’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including the Company’s accounting principles and practices and internal controls.
