Other Events

On June 16, 2022, Greene County Bancorp, MHC (the “MHC”), the mutual holding company and the 54.1% majority owner of Greene County Bancorp, Inc. (the “Company”), received the nonobjection of the Federal Reserve Bank of Philadelphia to waive its right to receive dividends, aggregating up to $0.60 per share, paid by the Company during the four quarters ending with the quarters that end on June 30, 2022, September 30, 2022, December 31, 2022, and March 31, 2023.

As has been previously disclosed, subject to cash flow needs, it is the MHC’s intention to waive the dividends declared and paid by the Company on its common stock during these quarters.
