Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 15, 2022, the Board of Directors of The Gap, Inc. (the "Company") approved an amendment to Article II, Section 6(C) of the Company’s bylaws (the "Amendment"), effective August 15, 2022, to revise its terms to be consistent with the requirements of the Securities and Exchange Commission's rules on the use of universal proxy cards. The foregoing summary is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 3.1 hereto and incorporated herein by reference.
