Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On January 31, 2023, the New York Stock Exchange (the “NYSE”) issued a press release stating that it had determined that Parabellum Acquisition Corp. (“Parabellum”) was not in compliance with Section 802.01B of the NYSE Listed Company Manual requiring a listed acquisition company to maintain an average aggregate global market capitalization attributable to its publicly-held shares of at least $40,000,000, over a consecutive 30 trading day period. The NYSE had determined to commence proceedings to delist from the NYSE Parabellum’s Class A common stock (“Parabellum Common Stock”) and units, each consisting of one share of Class A common stock and three-quarters of one redeemable warrant (“Parabellum Units”). The NYSE commenced the suspension of the trading of Parabellum’s warrants to purchase Class A common stock (“Parabellum Warrants” and together with Parabellum Common Stock and Parabellum Units, the “Parabellum Securities”) on November 1, 2022 as disclosed in the Current Report on Form 8-K filed on November 1, 2022.
Trading of Parabellum Common Stock and Parabellum Units was suspended effective as of approximately 4:00 p.m. Eastern Time on January 31, 2023. The NYSE will apply to the U.S. Securities and Exchange Commission (“SEC”) to delist the Parabellum Securities upon completion of all applicable procedures.
Item 8.01. Other Events.
On January 31, 2023, Parabellum issued a press release announcing the suspension of trading of the Parabellum Securities.

Additional Information and Where to Find It
As previously announced, Parabellum, EnOcean GmbH (“EnOcean”), EnOcean Holdings, B.V. (“Holdco”), and Artemis Merger Sub, Inc. entered into a Business Combination Agreement, dated November 13, 2022 (such transaction, a “Business Combination”), pursuant to which, among other things, Holdco will acquire Parabellum and EnOcean for consideration of a combination of shares in Holdco. In connection with the proposed Business Combination, Holdco intends to file with the SEC a registration statement on Form F-4, which will include a preliminary proxy statement to be distributed to holders of Parabellum’s common stock in connection with Parabellum’s solicitation of proxies for the vote by Parabellum’s stockholders with respect to the Business Combination and other matters as described in the F-4 Registration Statement and a prospectus relating to the offer of the securities to be issued to Parabellum’s stockholders in connection with the Business Combination. After the F-4 Registration Statement has been filed and declared effective, Parabellum will mail a definitive proxy statement/prospectus, when available, to its stockholders. Investors and security holders and other interested parties are urged to read the proxy statement/prospectus, any amendments thereto and any other documents filed with the SEC carefully and in their entirety when they become available because they will contain important information about Parabellum, EnOcean and the Business Combination.
