| Amendment Description | This Amendment No. 1 (the “Amended Form 8-K”) to the Company’s Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 22, 2026 (the “Original Form 8-K”) is being filed to correct for the fact that, among the Monthly Extension Fee (as defined below), $25,000 was paid by the Sponsor (as defined below), and the remaining $25,000 was paid by the Target (as defined below).
